Memorandum, Articles and Rules of Association

The HBSA is legally a Company Limited by Guarantee and not having a Share Capital.

Three members of Council are elected annually to be registered at Companies House as the Directors of the company.  They are responsible to Council and the membership for complying with our legal obligations as a Company.

Like all UK companies, the HBSA's activities are governed by its Memorandum of Association, by its Articles of Association, and by its Rules (By-laws) which together fulfill the role of a 'constitution'.
